1. About these terms

These Terms of Service ("Terms") govern your use of the website at jdsoftvera.com and any services, products, or deliverables provided by JD Softvera ("we", "us", "our"), a software studio based in Jaipur, Rajasthan, India. By accessing our website, requesting a quote, or engaging our services, you agree to these Terms.

2. Our services

We provide software and AI services including, but not limited to, AI automation, AI agents, bespoke web and mobile software, product design and development, integrations, and related consulting and support. The specific scope, deliverables, timeline, and fees for any engagement are set out in a separate written proposal, quotation, or statement of work ("Proposal") agreed between you and us. In the event of any conflict, the Proposal prevails over these Terms for that engagement.

Our fixed-price consultancy packages (including the AI technical consultation) are described, with their price, inclusions, and exclusions, on our AI consulting page; that description serves as the Proposal for those packages. Recommendations are advice based on the information you provide. They are not a guarantee of results, and you decide whether and how to act on them.

3. Quotations & engagement

  • Any prices or estimates we share are indicative and do not constitute a binding offer until set out in an agreed Proposal.
  • An engagement begins only when both parties have agreed a Proposal and any required advance payment has been received.
  • Changes to scope after work has begun ("change requests") may affect the fee and timeline and will be quoted separately.

4. Payments

  • Fees, payment milestones, and the payment schedule are set out in the Proposal. Many projects are billed with an advance and one or more milestone payments.
  • All fees are exclusive of applicable taxes (such as GST), which will be added where required by law.
  • Payments may be collected via approved third-party payment gateways or bank transfer. We do not store your full card or banking details; these are handled by the relevant payment provider.
  • We may pause or suspend work on overdue invoices after reasonable notice.

5. Client responsibilities

You agree to provide timely access to information, content, accounts, approvals, and feedback reasonably required for us to perform the services, and to ensure that any materials you supply do not infringe the rights of others. Delays in providing these may affect the timeline.

6. Intellectual property

Unless the Proposal states otherwise, upon full payment for an engagement, ownership of the custom deliverables created specifically for you transfers to you. We retain ownership of our pre-existing tools, libraries, frameworks, and know-how, and may reuse general skills and non-confidential techniques. We may reference the engagement in our portfolio unless you ask us in writing not to.

7. Confidentiality

Each party agrees to keep the other's non-public information confidential and to use it only for the purpose of the engagement.

8. Warranties & disclaimers

We perform our services with reasonable skill and care. Except as expressly stated, services and deliverables are provided "as is" without further warranties of any kind. AI systems can produce imperfect or unexpected outputs; where we deliver AI features, we implement reasonable guardrails, but you are responsible for reviewing outputs before relying on them for important decisions.

9. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or in connection with an engagement shall not exceed the fees paid to us for that engagement. We are not liable for indirect, incidental, or consequential losses, or for loss of profits, revenue, or data.

10. Cancellation & refunds

Cancellations and refunds are governed by our Refund & Cancellation Policy, which forms part of these Terms.

11. Governing law

These Terms are governed by the laws of India. The courts at Jaipur, Rajasthan shall have exclusive jurisdiction over any dispute, subject to any mediation or arbitration agreed in a Proposal.

12. Changes to these terms

We may update these Terms from time to time. The current version is always available on this page with the "Last updated" date above.
